Terms of Service

These terms govern access to CedarShift Systems’ websites, applications and business software services. Product-specific terms may also apply and will be presented before purchase.

Services

CedarShift develops business software and operational tools. CedarShift Capture provides tools for capturing, renaming, organizing, transferring and reporting business photos. Features may change as our services develop. Pilot and preview features may be incomplete and should be tested before use in critical production work.

Company accounts and users

The customer administrator controls employee accounts and is responsible for accurate user information, credential distribution and timely deactivation. For seat-based products, each active employee requires a paid seat. Accounts may not be shared between multiple active employees.

Fees

Published fees are charged in Canadian dollars unless stated otherwise, plus applicable taxes. Added seats may be prorated for the remaining billing period. Seat reductions normally apply at the next renewal. Current pricing and billing terms will be displayed before purchase.

Customer content

The customer retains ownership of its photos and related content. The customer grants CedarShift the limited permission necessary to process, store temporarily, rename and transfer that content to provide the service.

Third-party services

Google Drive, payment services, website form processors and other integrations are governed by their providers’ terms. Customers are responsible for maintaining sufficient storage and appropriate permissions. CedarShift is not responsible for outages or changes caused solely by third-party services.

Acceptable use

Customers must not use CedarShift unlawfully, attempt unauthorized access, distribute malware, interfere with the service, or upload content they do not have the right to process.

Availability and backups

We work to provide reliable recovery and transfer features, but customers should maintain appropriate business backups and confirm upload status before deleting originals. Preview versions are not guaranteed for uninterrupted production use.

Suspension and termination

Access may be suspended for non-payment, security threats, unlawful use or material breach. Customers may stop renewal according to the cancellation controls presented with their subscription.

Disclaimer and liability

To the extent permitted by law, services are provided without guarantees beyond those expressly stated. CedarShift is not liable for indirect, incidental or consequential losses. Any final liability limits applicable to paid plans will be presented before commercial launch.

Governing law

These terms are governed by the laws of Ontario and the applicable federal laws of Canada, without limiting consumer or statutory rights that cannot legally be excluded.
